These Terms of Use (“Terms”) govern your access to and use of levioaccess.com and its public-facing content and features (the “Site”).

The Site is owned and operated by Levio Access, Inc. (“Levio Access,” “we,” “us,” or “our”).

By accessing or using the Site, you agree to these Terms. If you do not agree to these Terms, please do not use the Site.

1. Scope of These Terms

These Terms apply to the public-facing Levio Access website.

They do not govern a customer’s authorized use of the Levio Access technology platform or services where that use is subject to a separate written agreement with Levio Access.

If there is a conflict between these Terms and a separately executed agreement governing your organization’s use of Levio Access products or services, the separately executed agreement will govern with respect to those products or services.

2. Informational Purpose

Content on the Site is provided for general informational and business purposes.

Descriptions of Levio Access products, technology, features, capabilities, workflows, demonstrations, or potential applications are intended to provide general information and may be updated or changed without notice.

Nothing on the Site constitutes a binding offer or commitment to provide any particular product, service, feature, functionality, integration, performance level, or result.

Specific products and services provided to customers are governed by the applicable written agreement between Levio Access and the customer.

3. No Medical or Clinical Advice

Levio Access provides technology designed for use in healthcare-related business and access workflows. However, the public Site does not provide medical advice, diagnosis, treatment recommendations, clinical decision-making, legal advice, insurance coverage determinations, or reimbursement advice.

Nothing on the Site is intended to substitute for the professional judgment of healthcare providers, payers, legal professionals, or other qualified professionals.

You should not rely on information presented on the Site to make decisions regarding individual patient care, treatment, insurance coverage, reimbursement, or other clinical or legal matters.

4. No Submission of Patient or Sensitive Health Information

The public-facing Site and its general contact and demonstration request forms are not intended to collect patient information, protected health information, medical records, or other sensitive health information.

Please do not submit patient-identifying information or protected health information through general Site forms, public email addresses, or other public-facing Site features.

Authorized customer use of Levio Access services involving healthcare-related information may be governed by separate contractual, privacy, security, and regulatory requirements.

5. Permitted Use

You may use the Site for lawful business and informational purposes in accordance with these Terms.

You may not:

• Use the Site in violation of applicable law
• Attempt to gain unauthorized access to the Site, systems, networks, or data
• Interfere with the security, integrity, availability, or operation of the Site
• Introduce malware, malicious code, automated attacks, or harmful technologies
• Scrape, crawl, harvest, copy, or extract Site content through automated means except as permitted by law or with our written authorization
• Attempt to reverse engineer Site functionality or security mechanisms

• Use Levio Access intellectual property in a manner not expressly authorized by us

Except as expressly permitted by these Terms or applicable law, you may not reproduce, modify, distribute, publish, display, transmit, create derivative works from, license, sell, or commercially exploit Site content without prior written permission from Levio Access.

Nothing in these Terms grants you ownership of or a license to Levio Access intellectual property except for the limited right to access and use the Site in accordance with these Terms.

7. Trademarks

“Levio Access,” associated logos, product names, branding, and other marks displayed on the Site may be trademarks or service marks owned by Levio Access or third parties.

You may not use these marks without prior written authorization from the applicable owner.

8. Feedback

If you voluntarily provide suggestions, ideas, feedback, or recommendations concerning Levio Access products, services, or the Site, you grant Levio Access the right to use that feedback for business purposes without restriction or compensation to you, to the extent permitted by applicable law.

This provision does not authorize Levio Access to publicly identify you or your organization as the source of feedback without permission.

9. Third-Party Websites and Services

The Site may contain links to third-party websites, platforms, resources, or services.

These links are provided for convenience and do not necessarily constitute an endorsement.

Levio Access does not control and is not responsible for third-party content, availability, security, privacy practices, products, services, or terms.

Your interactions with third-party websites and services are governed by the applicable third party's terms and policies.

10. Site Availability and Changes

We may modify, update, suspend, restrict, or discontinue all or part of the Site at any time.

We do not guarantee that the Site will always be available, uninterrupted, secure, or error-free.

We may update Site content periodically, but we are not obligated to update any particular information unless required by law.

To the fullest extent permitted by applicable law, the site and its content are provided on an “as is” and “as available” basis.

Levio Access disclaims all warranties, express or implied, relating to the site or its content, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Levio Access does not warrant that the site will be uninterrupted, error-free, secure, accurate, complete, or free of harmful components.

Nothing in this section limits warranties or obligations contained in a separate written agreement between Levio Access and a customer.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Levio Access and its directors, officers, employees, affiliates, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your access to or use of, or inability to access or use, the site.

This includes, to the extent permitted by law, damages resulting from loss of data, loss of profits, business interruption, or reliance on information available through the site.

Some jurisdictions do not permit certain limitations or exclusions of liability, so portions of this section may not apply to you.

13. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Levio Access and its directors, officers, employees, affiliates, and agents from claims, liabilities, losses, damages, and reasonable costs arising from your unlawful use of the Site, your material violation of these Terms, or your infringement of the rights of another party.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Subject to any rights that cannot legally be waived or restricted, disputes arising exclusively from use of the public-facing Site will be subject to the jurisdiction of the applicable state or federal courts located in Delaware.

Any dispute involving a customer agreement with Levio Access will be governed by the dispute resolution provisions contained in that agreement.

16. Changes to These Terms

We may revise these Terms from time to time.

When changes are made, we will update the “Last Updated” date at the top of this page.

Your continued use of the Site after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

17. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

18. Entire Agreement for Website Use

These Terms, together with the Privacy Policy and Cookie Policy, constitute the agreement between you and Levio Access concerning your use of the public-facing Site.

They do not supersede separately executed agreements governing Levio Access products or services.
